Overview

The governance of The Alvan Ikoku Center for Ethics is structured in the following manner:

Leadership and Management

The Alvan Ikoku Center for Ethics is a duly formed organization entity that

Solely Led, Managed, Owned
is wholly led, managed and owned by its sole Founder, Alvan Azinna Chibuzo Ikoku.
Sole Director, CEO
has the Founder serving as its sole Director and CEO.
Sole Powers, Rights
has the Founder as the sole person with decision-making, executive, fiduciary, managerial, ownership and voting powers, rights, and equivalent, especially those pertaining to The Alvan Ikoku Center’s formation, governance, and overall administration.

Membership and Fiduciaries

The Alvan Ikoku Center for Ethics has

Sole Member, Owner
the Founder, Alvan Azinna Chibuzo Ikoku, as its sole Member and complete Owner, of the organization entity, its assets and properties, its divisions, series, subsidiaries, and affiliates, and its products and services.
Sole Fiduciary, Interests-Holder
the Founder as its sole fiduciary and sole interests-holder, shareholder, stockholder, or equivalent.
No Other Fiduciary, Member, Owner
no other person, legal or natural, as its fiduciary, member, owner, or equivalent.

Partnerships and Affiliations

Announcements of any affiliations, partnerships, sponsorships, and equivalent with The Alvan Ikoku Center for Ethics will be provided upon agreements executed by the Founder, Alvan Azinna Chibuzo Ikoku, solely via this Founder’s express written instrument signed and sealed.

Public Records and Standing

The Alvan Ikoku Center for Ethics is a private and nonpublic organization entity, with minimal disclosure requirements. Appropriately limited public record confirmation of The Alvan Ikoku Center for Ethics’s formation, governance, and status will, when appropriate and mandated, be made available via minimally required disclosure of filing with the appropriate government entities, links to which will then be provided here.

The governance of The Alvan Ikoku Center for Ethics is, as follows, in character, essence, and nature:

Confidential in Nature

The Alvan Ikoku Center for Ethics is formed to be and remain confidential and thus:

exists as a confidential organization entity.
Confidential Governance
is an entity of confidential administration, including governance, executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
Governance Not Non-Confidentially
with no aspects of its administration, including governance, executed in any way non-confidentially — including via disclosure, exposure, investigation, publicity, regulation, transparency, vetting, or equivalent.
Organizational Confidentiality
with the above constituting basic conditions for the organizational confidentiality of The Alvan Ikoku Center for Ethics, as further provided for in the Codes and Policies.

Independent in Nature

The Alvan Ikoku Center for Ethics is formed to be and remain independent and thus:

Independent Existence
exists as an independent organization entity.
Independent Governance
is an entity of independent administration, including governance, executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
Governance Not Non-Independently
with no aspects of its administration, including governance, executed in any way non-independently — including by any other entity, office, or person, or via bureaucracy, collectivism, conservatorship, custodianship, regulation, sponsorship, supervision, takeover, or equivalent.
Organizational Independence
with the above constituting basic conditions for the organizational independence of The Alvan Ikoku Center for Ethics, as further provided for in the Codes and Policies.

Intact in Nature

The Alvan Ikoku Center for Ethics is formed to be and remain internally intact and thus:

Intact Existence
exists as an internally intact organization entity.
Internally Intact Governance
is an entity of internally intact administration, including governance, executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
Governance Not Non-Internally Intact
with no aspects of its administration, including governance, executed in any way that is not internally intact — including via unauthorized access or during efforts at communication, connection, exchange, networking, provisioning, sharing, testing, or equivalent.
Organizational Integrity
with the above constituting basic conditions for the organizational integrity of The Alvan Ikoku Center for Ethics, as further provided for in the Codes and Policies.

Private in Nature

The Alvan Ikoku Center for Ethics is formed to be and remain private and thus:

Private Existence
exists as a nonpublic and private organization entity.
Private Governance
is an entity of private administration, including governance, executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
Governance Not Publicly
with no aspects of its administration, including governance, executed in any way publicly — including via access, exposure, or transparency or via attempts at control, decision-making, or ownership that are collectivist, communal, cooperative, governmental, socialist or equivalent in nature.
Organizational Privacy
with the above constituting basic conditions for the organizational privacy of The Alvan Ikoku Center for Ethics, as further provided for in the Codes and Policies.
Private in Public Benefit
with The Alvan Ikoku Center maintaining such private nature and status through any arrangement, effort, or purpose that is “charitable,” “philanthropic,” or “public benefit,” as defined in the Codes and Policies.
Private via Philanthropies
with any charitable, philanthropic or public benefit arrangement, effort, or purpose fulfilled primarily in coordination with The Ikoku Foundations and The Ikoku Philanthropies division of The Alvan Ikoku Group LLC.
Philanthropies Solely Administered
with the sole person with powers and rights to conduct, delegate, finance, fulfill, manage, operate, report, review, and otherwise administer any charitable, philanthropic or public benefit arrangement, effort, or purpose of The Alvan Ikoku Center being the sole Founder, Alvan Azinna Chibuzo Ikoku, and as executed solely via the Founder’s authorization.
Philanthropies Solely Authorized
with the sole person with powers and rights to authorize, change, limit, review, specify, and otherwise determine any charitable, philanthropic or public benefit arrangement, effort, or purpose of The Alvan Ikoku Center being the sole Founder, Alvan Azinna Chibuzo Ikoku, and as executed solely via the Founder’s authorization.

Safe and Secure in Nature

The Alvan Ikoku Center for Ethics is formed to be and remain safe and secure and thus:

Safe, Secure Existence
exists as a safe and secure organization entity.
Safe, Secure Governance
is an entity of safe and secure administration, including governance, executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
Governance Not Insecurely, Unsafely
with no aspects of its administration, including governance, executed in any way insecurely or unsafely — including via accident, attack, disruption, hinderance, interception, interference, intrusion, trespass, or equivalent.
Organizational Safety, Security
with the above constituting basic conditions for the organizational safety and security of The Alvan Ikoku Center for Ethics, as further provided for in the Codes and Policies.

Single and Unified in Nature

The Alvan Ikoku Center for Ethics is formed to be and remain single, central and unified and thus:

Single, Central, Unified Existence
exists as a single, central and unified organization entity.
Single, Central, Unified Governance
is an entity of single, central and unified administration, including governance, executed solely by the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
Governance Not Decentrally, Plurally
with no aspects of its administration, including governance, executed in any way decentrally or plurally — including via decentralization, duplication, federation, franchise, license, multiplication, pluralism, plurality, pluralization, redundancy, or equivalent.
Organizational Unity
with the above constituting basic conditions for the organizational unity of The Alvan Ikoku Center for Ethics, as further provided for in the Codes and Policies.

Sole Administration and Management

The Founder, Alvan Azinna Chibuzo Ikoku, is the only person empowered with:

Sole Administration, Management Powers
any and all executive administration and management powers with respect to The Alvan Ikoku Center for Ethics, including executive powers of control, development, finance, governance, operation, oversight, regulation, supervision, and equivalent of and over The Alvan Ikoku Center for Ethics.
Entailing Fiduciary
and including, especially, any and all executive fiduciary powers in any way pertaining to The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all executive administration and management powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Administration, Management
with such executive administration and management proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
No Alternative, Delegation
with such executive administration and management not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole executive administrator and manager and sole manner of executive administration and management, and with such executive administration and management also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Authorizer and Authorization

The Founder, Alvan Azinna Chibuzo Ikoku, is the only person empowered with:

Sole Authorization, Executive Powers
any and all authorization and executive powers with respect to The Alvan Ikoku Center for Ethics, including powers to authorize The Alvan Ikoku Center for Ethics to engage in, enter into, expend for, or otherwise execute any acts, activities, agents, arrangements, or equivalent.
Entailing Governance
and including, especially, any and all authorization and executive powers in any way pertaining to any aspects of the administration, including governance, of The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all authorization and executive powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Authorization
with such authorization proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
No Alternative, Delegation
with such authorization not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole authorizer and executive and sole manner of authorization, and with such authorization also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Books- and Records-Keeping

The Founder, Alvan Azinna Chibuzo Ikoku, is the only person executively empowered with:

Sole Books, Records Powers
any and all books- and records-making and keeping powers with respect to The Alvan Ikoku Center for Ethics, including powers to have The Alvan Ikoku Center for Ethics add, correct, create, disclose, edit, hold, officialize, redact, reproduce, revise, safeguard, seal, sign, stamp, update, and otherwise maintain any accounts, agreements, books, communications, contracts, correspondence, documents, dossiers, files, forms, ledgers, instruments, minutes, notifications, notices, proceedings, records, reports, or equivalent.
Entailing Governance
and including, especially, any and all books- and records-making and keeping powers in any way pertaining to any aspects of the administration, including governance, of The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all books- and records-making and keeping powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Books, Records
with such books- and records-making and keeping proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
No Alternative, Delegation
with such books- and records-making and keeping not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole books- and records-maker and keeper and sole manner of books- and records-making and keeping, and with such books- and records-making and keeping also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Decision-Making and Voting

The Founder, Alvan Azinna Chibuzo Ikoku, and the Board of Directors are the only persons empowered with:

Sole Deciding, Voting Powers
any and all decision-making and voting powers with respect to The Alvan Ikoku Center for Ethics, including powers to have The Alvan Ikoku Center for Ethics make and execute any decisions, votes, or equivalent.
Entailing Governance
and including, especially, any and all decision-making and voting powers in any way pertaining to any aspects of the administration, including governance, of The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all decision-making and voting powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Deciding, Voting
with such decision-making and voting proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and the Board of Directors, and executed solely via the Founder’s authorization.
No Alternative, Delegation
with such decision-making and voting not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole decision-makers and voters and sole manner of decision-making and voting, and with such decision-making and voting also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Employment and Appointment

The Founder, Alvan Azinna Chibuzo Ikoku, is the only person executively empowered with:

Employment, Appointment Powers
any and all employment and appointment powers with respect to The Alvan Ikoku Center for Ethics, including powers to have The Alvan Ikoku Center for Ethics apprentice, assign, contract, elect, hire, outsource, or otherwise engage any agents, entities, offices, parties, persons, or equivalent.
Entailing Governance
and including, especially, any and all employment and appointment powers in any way pertaining to any aspects of the administration, including governance, of The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all employment and appointment powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Employment, Appointment
with such employment and appointment proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
No Alternative, Delegation
with such employment and appointment not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole employer and appointer and sole manner of employment and appointment, and with such employment and appointment also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Finances and Funding

The Founder, Alvan Azinna Chibuzo Ikoku, is the only person executively empowered with:

Financial and Funding Powers
any and all financial and funding powers with respect to The Alvan Ikoku Center for Ethics, including powers to have The Alvan Ikoku Center for Ethics engage in, enter into, expend for, or otherwise execute any financial acts, activities, arrangements, or equivalent, including those relating to accounts, bonds, budgets, debts, disbursements, distributions, fees, fines, grants, investments, liens, loans, payments, purchases, sales, scholarships, taxes, transactions, wages, or equivalent.
Entailing Governance
and including, especially, any and all financial and funding powers in any way pertaining to any aspects of the administration, including governance, of The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all financial and funding powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Finances, Funding
with such finances and funding proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
No Alternative, Delegation
with such finances and funding not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole finance authorizer and funder and sole manner of finances and funding, and with such finances and funding also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Policies- and Rules-Making

The Founder, Alvan Azinna Chibuzo Ikoku, is the only person empowered with:

Policies- and Rules-Making Powers
any and all policies- and rules-making and compliance powers with respect to The Alvan Ikoku Center for Ethics, including powers to have The Alvan Ikoku Center for Ethics adopt, alter, amend, apply, enforce, interpret, remedy, revise, substitute, or otherwise ensure adherence to any code, guideline, law, policy, recommendation, regulation, rule, or equivalent.
Entailing Governance
and including, especially, any and all policies- and rules-making and compliance powers in any way pertaining to any aspects of the administration, including governance, of The Alvan Ikoku Center for Ethics.
Entailing Property
and including, especially, any and all policies- and rules-making and compliance powers in any way pertaining to any assets, estates, finances, funds, monies, real or intellectual properties, resources, or equivalent.
Sole Manner of Policies-, Rules-Making
with such policies- and rules-making and compliance proceeding solely by act of the Founder, Alvan Azinna Chibuzo Ikoku, and solely via the Founder’s authorization.
No Alternative, Delegation
with such policies- and rules-making and compliance not allowed to have any alternative — be it another act, activity, agent, arrangement, or equivalent — to the aforementioned sole policies- and rules-maker and compliance adjudicator and sole manner of policies- and rules-making and compliance, and with such policies- and rules-making and compliance also not allowed to be delegated to or otherwise assumed by any other entity, office, or person.

Sole Powers of Determination

As such, the Founder, Alvan Azinna Chibuzo Ikoku, is the only person with the authority and powers to adjudicate and determine — without appeal or liability — whether a given act, activity, agent, arrangement, or equivalent is:

Compatible or Not
compatible or incompatible with The Alvan Ikoku Center for Ethics itself, as well as its founding, governance, and overall administration, with the objective to render the issue under review clearly rather than arguably compatible.
Compliant or Not
complaint or non-compliant with the Codes and Policies of The Alvan Ikoku Center for Ethics, as well as applicable law and regulation, with the objective to render the issue under review clearly rather than arguably compliant, law-abiding and policy-abiding.
Confidential, Private or Not
in accordance with or infringing the policies, principles, and protections for confidentiality and privacy, as provided for in the Codes and Policies, with the objective to render the issue under review clearly rather than arguably confidential and private.
Consented or Not
in accordance with or infringing the policies, principles, and protections for consent, as provided for in the Codes and Policies, with the objective to render the issue under review clearly rather than arguably consented.
Ethical or Not
in accordance with or infringing the Founding and Governing Code of Ethics of The Alvan Ikoku Center for Ethics, with the objective to render the issue under review clearly rather than arguably ethical.
Faith-Aligned or Not
in alignment or non-alignment with the faith-based commitments of The Alvan Ikoku Center for Ethics, with the objective to render the issue under review clearly rather than arguably faith-aligned.
Mission-Aligned or Not
in alignment or non-alignment with the mission and purposes of The Alvan Ikoku Center for Ethics, with the objective to render the issue under review clearly rather than arguably mission-aligned.
Protective, Safe, Secure or Not
in accordance with or infringing the policies, principles, and protections for independence, integrity, safety, and security, as provided for in the Codes and Policies, with the objective to render the issue under review clearly rather than arguably protective, safe and secure.
With Intent, Knowledge
with the understanding that any act, activity, agent, arrangement, or equivalent effected or facilitated with intent or knowledge of infringement of the Codes and Policies — including avoidance of Founder authorization or adjudication — is to be considered, from its inception and prior to Founder determination, effectively and provisionally incompatible, noncompliant, unaligned, unconsented, unethical, unlawful, unprotective or equivalent, with the objective to preclude any intended or unintended evasion of Founder adjudication or determination and to limit any deleterious effects before or after eventual remedy.

with No Removal or Reduction

And furthermore, there is and will be no manner, means, or possibility of removal or replacement of the Founder, Alvan Azinna Chibuzo Ikoku, nor any delegation or diminishment of any of his aforementioned powers, in any way, under any circumstances, for any period, or for any benefit, end, goal, interest, mission, need, objective, purpose, or reason.
